Dear Solo and Small Firm Practitioners,

I hope that amid avid yearly tax reviews and preparations you have had at least a moment to stop by one of our city's many parks, inhale the aroma of flowering hyacinths and imagine that there is a life outside your daily tasks, routines and concerns. We all feel overwhelmed with the practice and the business of law, but often, what is most needed for our efficiency is actually a bit of perspective, - a walk around the block, a luxurious cup of your favorite coffee or tea or a bit of an indulgence in a nice, unhurried dinner with family or friends.

Getting Flexibility: the Assignment and Subletting Provisions in a Commercial Lease

Though appearing mundane, assignment and subletting clauses can be tricky. They deserve a little special attention. A failure to have flexible transfer provisions in a lease can end up a very costly mistake for a business. They can derail a corporate merger or saddle one with an expensive and non-usable leased space. The intent of this article is to overview some of the concerns relating to these provisions.

If a lease is silent about subletting or assigning it is allowed since the courts generally disfavor limits on alienation. However, often the landlord's form lease provides that assignment and subletting are subject to the consent of the landlord. In New York there is no over bridging requirement of good faith by a commercial landlord. In fact, New York law provides that the landlord can arbitrarily refuse consent for any reason and can even extract a fee from the tenant for agreeing to give its consent.

We have several spots still open for one of the networking groups run by the Small Law Firm Committee. This group meets at 8:30 AM every third Thursday of the month. It is an attorneys-only group; only one practice area permitted per member. The following categories are already taken: Customs and international trade; trust & estate, elder law; tax; residential and commercial real estate; business/transactional, corporate governance; family law and divorce mediation, collaborative divorce; personal injury, legal malpractice, medical malpractice. Even if you think your practice area is already taken, we might be able to find a spot for you. $14 per meeting for members; $20 per meeting for visitors. Our Pilot Mentoring Program for Solo and Small Firm Practitioners Continues

Dear Solo and Small Firm Practitioners,

A number of Association members have been seeking to connect with more experienced lawyers as mentors when handling matters in a particular area of law. In order to provide a means of matching lawyers with potential mentors, the New York City Bar has developed a pilot mentoring program.

This is a joint program of the Small Law Firm Center and the Legal Referral Service. If you believe you would benefit from the guidance of a mentor in a practice area, you may request to be paired up with a mentor, who is a panel member of the Legal Referral Service. Once your mentor is assigned, you can begin your mentor /mentee relationship on the following terms:

1. You may schedule meetings and/or telephone conferences with the mentor, during which you can ask specific substantive legal or practice related questions. For this type of service the mentors who are members of the LRS panel have graciously agreed to accept a reduced hourly fee of $100, which shall be paid by the mentee.

2. You may agree to co-counsel a case with the mentor based upon a mutually beneficial arrangement, which divides the work load and the fees from a particular client, subject to the LRS rules of panel membership.

3. The ability to help on any specific legal matter will depend upon the availability of a suitable mentor at the time that the request is received.

Practice Management Consultations

As a Member Benefit of the NYC Bar, any member who is interested in starting and/or growing his/her small law firm is entitled to one free practice management /brainstorming session with Alla Roytberg, Director of the Small Law Firm Center. If further consultations are needed, NYC Bar members can schedule additional consultations with Alla Roytberg at a discounted consultation fee of $50 per consultation. Payment should be by check made payable to "New York City Bar" in advance of each consultation. A consultation would last up to one hour, as needed.
